End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal contract between you (an individual or a legal entity, "Licensee") and MasterDatabase Ltda ("MasterDatabase", "we", "us"), the developer of the NoSqlStudio desktop application ("Software"). By installing, copying, activating or using the Software, you accept and agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Subject to your compliance with this Agreement and payment of the applicable fees, MasterDatabase grants you a non-exclusive, non-transferable license to install and use the Software, limited strictly to the scope of the plan you purchased (Free, Personal, Commercial, Team, Site or Corporate).

The number of users (seats) and devices on which the Software may be activated, and the features that are unlocked, are determined exclusively by your purchased plan and the corresponding license key. The plan matrix in effect at the time of purchase forms part of this Agreement.

2. Use restrictions

You may NOT, and may not permit any third party to:

  • reverse engineer, decompile or disassemble the Software, except to the extent expressly permitted by applicable law that cannot be excluded by contract;
  • rent, lease, lend, sell, sublicense, distribute or otherwise make the Software or your license key available to third parties beyond the seats authorised by your plan;
  • remove, alter or obscure any proprietary notices, trademarks or labels in the Software;
  • use the Software to build a competing product or service;
  • circumvent, disable or tamper with license validation, feature gating or activation mechanisms;
  • use the Software in violation of any applicable law or regulation.

3. Intellectual property

The Software is licensed, not sold. MasterDatabase and its licensors retain all right, title and interest in and to the Software, including all intellectual property rights, except for the third-party components described in Section 4. No rights are granted to you other than those expressly stated in this Agreement.

4. Third-party components — IMPORTANT NOTICE

IMPORTANT: NoSqlStudio is derived from MongoDB Compass, which is licensed under the Server Side Public License (SSPL). The obligations imposed by the SSPL — including, where applicable, source-code availability requirements — require specific legal review before any commercial distribution of NoSqlStudio. This Agreement does not waive, satisfy or override SSPL obligations.

The Software also includes other open-source components, each governed by its own license. A list of those components and their licenses is available with the Software. Your use of those components is subject to their respective license terms.

5. License keys and activation

Use of paid features requires a valid license key. The Software may periodically contact the NoSqlStudio online license-validation service to confirm that your license is valid and within its seat limits, as described in our Privacy Policy. You agree not to share, publish or misuse your license key.

6. Disclaimer of warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. MasterDatabase does not warrant that the Software will be error-free or uninterrupted, or that it will meet your requirements.

This Section does not exclude any warranty or consumer right that cannot be excluded under applicable mandatory law, including the Brazilian Consumer Protection Code (Código de Defesa do Consumidor) where it applies.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MasterDatabase shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or business, arising out of or related to the Software. MasterDatabase's total aggregate liability under this Agreement shall not exceed the amount you paid for the license during the twelve (12) months preceding the event giving rise to the claim.

8. Term and termination

This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. Upon termination you must cease all use of the Software and destroy all copies in your control. Sections 3, 4, 6, 7, 9 and 10 survive termination.

9. Governing law and jurisdiction

This Agreement is governed by the laws of the Federative Republic of Brazil. Any dispute arising from this Agreement shall be resolved by the courts of the consumer's domicile, as guaranteed by Brazilian consumer-protection law.
